Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Kariaa websites, applications, marketplace, message channels, DataHouse workflows, AI-assisted tools, and related services ("Platform"). "Kariaa," "we," "us," or "our" means the operator of the Platform.

By creating an account, messaging us, submitting an application, uploading a resume or file, completing an interview, completing a DataHouse task, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Kariaa.

These Terms, together with the Privacy Policy and any task-specific rules, constitute the entire agreement between you and Kariaa regarding the Platform and supersede any prior oral or written understandings, representations, or agreements. No employee, agent, or representative of Kariaa has authority to make promises or representations outside these Terms.

Nothing on the Platform — including AI assistant outputs, opportunity descriptions, profile feedback, match results, or support communications — constitutes legal, employment, immigration, financial, tax, or career advice. You are solely responsible for your own decisions.

Kariaa is a marketplace, workflow, messaging, and data platform. We help connect users with external opportunities and may help submit information to external companies, hosts, employers, customers, scouts, admins, and reviewers. We are not your employer, hiring manager, recruiter of record, payroll provider, staffing agency, legal advisor, tax advisor, or agent unless a separate written agreement expressly says otherwise.

External companies and hosts are responsible for their own listings, screening, interviews, selection decisions, working conditions, communications, payments, taxes, compliance, and disputes. Kariaa does not guarantee that any opportunity is real, available, lawful, suitable, safe, paid, funded, accurate, or successful.

We may provide tools, routing, messaging, review interfaces, data workflows, AI assistance, and marketplace infrastructure, but we do not assume responsibility for user submissions, host instructions, employer decisions, third-party content, third-party datasets, workplace conditions, or agreements you make outside Kariaa.

• You must be at least 18 years old and legally able to agree to these Terms.
• You must provide accurate, current, and complete information and keep it updated.
• You are responsible for account credentials and all activity under your account or messaging identity.
• You may not impersonate another person, submit false credentials, evade verification, bypass access controls, scrape the Platform, interfere with security, or use the Platform for unlawful, abusive, deceptive, or harmful activity.
• We may require verification, additional information, or documentation at any time.
• We may suspend, restrict, cancel, or terminate any account, submission, task, payment, or access at any time where we believe it is appropriate, including for fraud, abuse, risk, noncompliance, legal concerns, chargebacks, poor-quality submissions, duplicate accounts, or any other reason permitted by law.
• You may not create multiple accounts, use another person's name, identity, credentials, or contact information, or misrepresent your age, qualifications, work authorization, or location to gain access, payments, or opportunities.
• You may not send unsolicited bulk messages, use automated scripts, bots, or crawlers to interact with the Platform or AI assistant, flood the messaging system, or attempt to game rankings, matches, or scoring systems.
• If we determine or reasonably suspect that you engaged in fraud, identity misrepresentation, spam, manipulation, or abuse, we may immediately suspend or terminate your account, forfeit any pending or earned payments, reverse completed payments where permitted, and report the activity to relevant authorities or third parties.

Opportunities may include jobs, gigs, projects, internships, contests, DataHouse tasks, interviews, assessments, referrals, and other marketplace listings. Opportunity details, compensation, timelines, requirements, and next steps may be provided by external companies or hosts. You should independently evaluate each opportunity before applying or participating.

• Submitting interest or an application does not guarantee review, interview, selection, payment, employment, contract work, immigration sponsorship, or any result.
• Kariaa may submit or route your saved profile, resume, links, messages, application notes, interview transcripts, media, and other information to external companies and hosts.
• External companies and hosts may accept, reject, ignore, advance, request more information from, or contact applicants at their discretion.
• You are responsible for the accuracy, legality, and originality of anything you submit.
• When you authorize Kariaa or our AI assistant to apply to an opportunity on your behalf, you consent to the submission of your saved profile, resume, links, and application materials to that opportunity's external host or employer. For external job board listings, a team member or automated process may complete the submission within the stated turnaround window. You are responsible for reviewing opportunity details before authorizing an application. We will make reasonable efforts to submit accurate and complete information, but AI-assisted and automated submissions may contain errors, omissions, or delays — Kariaa is not liable for outcomes, employer decisions, or submission failures.

DataHouse opportunities involve data creation, labeling, recording, annotation, review, media upload, or similar task work. A DataHouse task may be unlocked only after an admin or host advances your application. You must follow the task instructions, file requirements, quality rules, and deadline rules shown for that task.

• Submitting DataHouse output does not guarantee approval or payment.
• Hosts, admins, or reviewers decide whether submitted work is approved, rejected, usable, complete, high quality, duplicate, fraudulent, or noncompliant.
• Any displayed amount is not guaranteed unless and until the host verifies the work and Kariaa confirms that payment is payable through the Platform.
• We may hold, cancel, reduce, reverse, deny, or delay payments for fraud, abuse, chargebacks, duplicate work, low-quality work, legal risk, technical error, host dispute, policy violation, or other legitimate reason.
• If a DataHouse payment is processed through Kariaa, you are responsible for any taxes, reporting, bank/payment details, and information needed to receive it.
• Some opportunities may result in a connection to an external employer or host rather than payment through Kariaa.
• By participating in a DataHouse opportunity, you consent to Kariaa sharing your profile, verification status, contact information, prior application history, DataHouse performance record, and submitted task materials with the opportunity's host, customer, reviewer, or external buyer, for the purposes of that task and any related commercial or research use.
• DataHouse hosts and buyers may retain, use, analyze, commercialize, or further share your submitted task output and associated metadata for their own purposes. Kariaa is not responsible for what hosts and buyers do with approved submissions after delivery.
• Unless the task instructions explicitly state that submissions are anonymous, your task output may be associated with your profile, account identifier, or contact details when shared with hosts or buyers.

By initiating or continuing a text or message conversation with Kariaa — via WhatsApp, Telegram, or another channel — you agree to these Terms and our Privacy Policy. Message and data rates from your carrier may apply.

• Message records, conversation history, profile data, and submitted information may be retained indefinitely for the purposes described in these Terms and our Privacy Policy. You may request deletion by emailing info@kariaa.com; see the Privacy Policy for what may be retained even after a deletion request.
• All job opportunities and listings surfaced through the Platform are provided by external companies, job boards, and hosts. Kariaa does not control listing accuracy, availability, compensation, working conditions, or the hiring or selection decisions of those parties.
• When you ask Kariaa or our AI assistant to apply to an opportunity on your behalf, you authorize us to submit your saved profile, resume, and application materials to that opportunity's host or external employer. For external job board listings, a team member or automated process may complete the submission within the stated turnaround window. You are responsible for reviewing opportunity details before authorizing an application. We will do our best to submit accurate information, but AI-assisted processing and automated submissions may contain errors, omissions, or delays — Kariaa is not liable for the outcome of any application submitted on your behalf.
• AI-assisted tools — including matching, chat, summaries, translations, and interview prompts — may produce incomplete, inaccurate, biased, or outdated results. Do not rely on AI outputs as legal, employment, tax, immigration, financial, or professional advice. All hiring, contracting, payment, and selection decisions remain with external companies and hosts.
• By submitting information through messaging or otherwise using the Platform, you grant Kariaa the license described in Section 9 (Content, Data, and Intellectual Property License), including use of your messages and data to train, evaluate, and improve AI and machine-learning systems.

If you message Kariaa by text, WhatsApp, Telegram, or another channel, you authorize us to respond on that channel, process your messages and attachments, store conversation records, and use those records to support your profile, opportunity search, applications, DataHouse tasks, and support requests. Message and data rates may apply.

Optional match alerts or opportunity notifications are opt-in or based on your continued messaging relationship with us. You can reply STOP, UNSUBSCRIBE, or a similar request, or contact info@kariaa.com to stop optional alerts or change notification preferences. We may still send transactional, account, legal, security, application, or task-related messages where permitted.

Kariaa may use AI and automated tools for chat, matching, search, translation, profile memory, interview prompts, transcript handling, application summaries, requirement review, fraud-risk signals, quality review, ranking, and operational support. AI outputs can be incomplete, inaccurate, biased, delayed, or based on limited information.

AI tools do not create a guarantee of fairness, selection, accuracy, employment, payment, or eligibility. External companies and hosts remain responsible for their own hiring, contracting, payment, and review decisions. You should not rely on AI outputs as legal, employment, tax, immigration, financial, or professional advice.

"User Content" means anything you submit, upload, send, create, record, provide, or make available through Kariaa, including profile details, resumes, documents, links, application notes, messages, interviews, transcripts, photos, videos, audio, DataHouse output, labels, datasets, annotations, files, feedback, and metadata.

You grant Kariaa a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid, commercial license to host, store, copy, reproduce, display, perform, distribute, modify, adapt, translate, analyze, create derivative works from, train or evaluate AI systems on, sell, resell, license, sublicense, commercialize, and otherwise use User Content and related data for marketplace operations, opportunity routing, DataHouse tasks, AI/ML, analytics, product development, research, quality review, fraud prevention, marketing, commercial partnerships, and any other lawful business purpose.

Unless a separate written agreement or task-specific rule says otherwise, User Content is not confidential and may be shared with external companies, hosts, employers, scouts, reviewers, admins, service providers, commercial partners, customers, and buyers. You represent that you have all rights needed to grant this license and that your User Content does not violate law or third-party rights.

Kariaa has no obligation to screen, verify, store, return, publish, remove, or continue hosting User Content. We are not liable for User Content submitted by you, other users, hosts, employers, customers, or third parties, and our review or use of User Content does not mean we endorse it or accept responsibility for it.

By submitting any User Content through the Platform — including messages, profile information, documents, interview responses, DataHouse output, or application materials — you acknowledge that you have read and agree to this license and that your submission may be used for AI/ML training, evaluation, product development, and commercial purposes as described above.

Kariaa and its licensors own the Platform, software, designs, workflows, databases, interfaces, branding, models, prompts, processes, and related materials, except for rights expressly granted in your User Content. You may not copy, reverse engineer, scrape, resell, interfere with, or misuse the Platform except as allowed by us in writing.

• Kariaa does not guarantee any salary, wage, prize, bounty, task payment, referral bonus, employer payment, or future earning.
• Payment amounts shown in opportunities may be estimates, host-entered values, maximums, ranges, or conditional amounts.
• Verified, approved, or selected status on the Platform does not by itself guarantee payment.
• You are responsible for taxes, reporting, withholding information, payment account details, and compliance related to amounts you receive.
• We may issue forms or reports where required, but we are not responsible for your tax compliance.
• External companies and hosts are responsible for compensation they offer outside Kariaa.
• If we determine or reasonably suspect fraud, duplicate submissions, identity misrepresentation, coordinated abuse, chargeback abuse, or policy violations, we may withhold, cancel, reverse, claw back, or permanently forfeit any payment — including amounts already marked as earned or approved — to the extent permitted by law.
• We may place a hold on any payment for as long as reasonably needed to investigate fraud, abuse, disputes, legal risk, chargebacks, or compliance issues. A hold does not mean we have approved or confirmed the payment.
• If a chargeback, reversal, or dispute results in a loss to Kariaa caused by your conduct, you may be liable for the amount reversed plus any associated fees, penalties, and costs of recovery.

• Submitting false, misleading, stolen, infringing, harmful, illegal, fraudulent, duplicate, low-quality, or AI-generated work where prohibited by task rules.
• Uploading malware, unsafe files, illegal media, non-consensual intimate content, or content that violates privacy, publicity, employment, intellectual property, or data-protection rights.
• Harassing users, hosts, scouts, admins, or Kariaa personnel.
• Trying to bypass access codes, rate limits, security controls, verification, payment controls, AI safety controls, or review workflows.
• Using the Platform to collect data about other users or companies without authorization.
• Misrepresenting your identity, age, qualifications, work authorization, availability, credentials, or ownership of submissions.
• Attempting to manipulate application outcomes, payment approvals, DataHouse quality reviews, AI matching scores, or opportunity access through deceptive means, coordinated activity, or false information.
• Sending unsolicited messages, using automated tools to interact with the AI assistant or Platform, creating fake engagement signals, or otherwise spamming users, hosts, or Kariaa.
• Creating or using more than one account to gain additional access, payments, opportunities, or advantages, or to evade a prior suspension or ban.
• Attempting to manipulate, jailbreak, extract internal system information from, or cause the AI assistant to take unauthorized actions, bypass safety filters, or act against platform policies.
• Submitting DataHouse output that was not genuinely produced by you, including AI-generated content where prohibited, copied work, purchased work, or work produced using methods prohibited by task instructions.

The Platform may link to or integrate with third-party websites, employers, hosts, messaging apps, AI providers, storage providers, email providers, analytics providers, and payment or communication tools. We do not control those third parties and are not responsible for their services, content, actions, omissions, privacy practices, terms, employment practices, payment practices, or decisions.

All job opportunities, gig listings, and DataHouse tasks sourced from external job boards, ATS platforms, company websites, or third-party databases are provided by those external parties. Kariaa does not verify, endorse, or take responsibility for the accuracy, legality, completeness, safety, availability, compensation, working conditions, or employment practices of those listings or the companies behind them.

External companies may have their own separate terms, privacy policies, background check requirements, and hiring processes. Your interactions with external companies — including interviews, offers, contracts, onboarding, payment, and disputes — are governed by those companies' terms and applicable law, not by these Terms.

Kariaa does not act as an employment agency, staffing firm, or recruiter of record. Connecting with an opportunity through Kariaa does not create an employment, contractor, or agency relationship between you and Kariaa.

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Kariaa disclaims all warranties, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, title, non-infringement, security, uninterrupted service, and suitability for any opportunity, employer, worker, candidate, dataset, task, or use case.

Kariaa does not guarantee that listings, companies, hosts, users, payments, matches, AI outputs, interviews, reviews, DataHouse tasks, files, alerts, links, messages, or submissions will be accurate, lawful, safe, available, high quality, timely, fair, or successful.

Kariaa is not liable for unauthorized access to your data by third parties, data breaches caused by external providers or attackers, or security incidents beyond our reasonable control. You acknowledge that no internet-connected system is completely secure.

You assume all risk of relying on AI assistant outputs for career, employment, financial, immigration, or life decisions. Kariaa does not warrant that the AI assistant's suggestions, job matches, interview coaching, company research, or profile feedback are accurate, complete, or appropriate for your situation.

Kariaa is not liable for failures, errors, delays, or outages of third-party APIs, messaging providers, job boards, AI model providers, cloud infrastructure, payment processors, or other services the Platform depends on.

To the fullest extent permitted by law, Kariaa and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost data, lost opportunities, lost earnings, reputational harm, employment decisions, host decisions, external payments, third-party conduct, AI outputs, security incidents, Platform interruptions, lost job opportunities, failed applications, incorrect AI outputs, AI-assisted application errors, data loss from provider failures, or any claim arising from your reliance on Platform content.

To the fullest extent permitted by law, our total liability for all claims relating to the Platform or these Terms will not exceed the greater of USD $100 or the amount you paid directly to Kariaa for the specific service giving rise to the claim in the three months before the event.

Kariaa is not liable for any delay or failure to perform any obligation under these Terms caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, internet or infrastructure outages, cyberattacks, AI model failures, third-party API failures, or labor disputes.

You agree to defend, indemnify, and hold harmless Kariaa and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the Platform, your violation of these Terms, your violation of law, your dealings with external companies, hosts, scouts, or referrers, or your infringement or misappropriation of third-party rights.

• You may report suspected fraud, abuse, identity misrepresentation, or policy violations to info@kariaa.com.
• We may investigate suspected violations at any time and may take action — including account suspension, payment holds, access restrictions, content removal, or termination — based on our investigation, even if it is ongoing.
• We are not required to disclose the details, outcome, or timeline of any investigation to you or any third party, except as required by law.
• Providing false information in a report or investigation is itself a violation of these Terms and may result in account action.

You may stop using the Platform at any time. We may suspend, restrict, or terminate your access, account, submissions, task access, payment eligibility, alerts, or other Platform features at any time where permitted by law. Termination does not limit rights and obligations that should reasonably survive, including content licenses, payment holds, fraud review, disclaimers, liability limits, indemnity, dispute provisions, and retention of records.

If your account is terminated for fraud, abuse, policy violations, or any other reason, we may prevent you from registering a new account or accessing the Platform again, including through a different name, email address, phone number, or device.

Our Privacy Policy explains how we collect, use, disclose, license, sell, retain, and process information. By using Kariaa, you agree to our Privacy Policy and the data practices described there.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. To the fullest extent permitted by law, you and Kariaa agree to resolve disputes through final and binding individual arbitration, rather than in court, except that either party may seek relief in small claims court for eligible claims or seek injunctive or equitable relief for misuse of intellectual property, confidential information, security systems, or the Platform.

Arbitration will be conducted on an individual basis under commercially reasonable arbitration rules selected by Kariaa unless the parties agree otherwise. You and Kariaa waive the right to a jury trial and waive the right to participate in a class action, class arbitration, private attorney general action, representative action, or consolidated proceeding, to the fullest extent permitted by law.

If a court or arbitrator finds any part of this arbitration or class waiver section unenforceable, the remaining parts will remain in effect to the maximum extent permitted by law. Any non-arbitrable dispute will be brought exclusively in state or federal courts located in Delaware, unless applicable law requires another venue.

Regardless of whether you and Kariaa arbitrate, you waive any right to bring or participate in a class action, collective action, private attorney general action, or representative proceeding of any kind against Kariaa in any forum. This waiver applies to the fullest extent permitted by law and is severable from the arbitration agreement.

We may update these Terms at any time. We will try to notify you of material changes by posting them on the Platform, sending an email or message to your registered contact, or by other reasonable means. The updated Terms are effective when posted unless we specify a later date. Your continued use of the Platform after changes are posted — or after the stated effective date — means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Platform.

Severability. If any provision of these Terms is found invalid, illegal, or unenforceable by a court or arbitrator, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity or enforceability of the remaining provisions.

No Waiver. Kariaa's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Kariaa.

No Agency or Partnership. Nothing in these Terms creates a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Kariaa.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Kariaa may assign or transfer these Terms or any rights or obligations under them, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, or sale of assets.

Notices. Legal notices to Kariaa must be sent to info@kariaa.com. We may send notices to you by email, platform message, or any channel associated with your account. Notices are effective when sent.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights. No person or entity other than you and Kariaa has any right to enforce these Terms.
